1. Acceptance of Terms
By downloading, installing, or using MyCirclee ("the App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the App.
These Terms constitute a legal agreement between you and NEOGY LLC, a New Hampshire limited liability company (Business ID: 1010134), operating the MyCirclee service.
2. Description of Service
MyCirclee is a private, invite-only social application for iOS. It allows small groups of up to 30 people ("a circle") to share ephemeral posts, coordinate events, exchange direct messages, and see each other's presence status.
The App is free to use. An optional paid tier ("Support Circle") is available for users who wish to support ongoing development. All core features are accessible without payment.
The App does not display advertisements and does not track user behavior for commercial purposes.
3. Eligibility
You must be at least 13 years of age (or the age of digital consent in your jurisdiction, if higher) to create an account and use MyCirclee.
If you are between the required minimum age and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
By using the App, you represent and warrant that you meet these eligibility requirements.
4. Account Registration & Security
To use MyCirclee, you must create an account. You agree to provide accurate information during registration and to keep your credentials secure.
You are responsible for all activity that occurs under your account. If you become aware of unauthorized access, contact us immediately at neogy@duck.com.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
5. User Conduct
MyCirclee is a private space built on trust. You agree not to use the App to:
- Harass, bully, or threaten other users in any form
- Post illegal content, including material that violates applicable laws in your jurisdiction
- Spam your circle with unsolicited commercial messages or repetitive content
- Impersonate another person, entity, or organization
- Share content depicting or promoting violence, exploitation, or abuse
- Attempt to circumvent the App's membership cap, invite system, or content safety measures
- Reverse-engineer, decompile, or disassemble the App or its infrastructure
- Use automated tools (bots, scrapers, crawlers) to access or interact with the App
We enforce content standards through on-device content safety mechanisms. Violations may result in content removal, account suspension, or permanent termination at our sole discretion.
6. Content & Intellectual Property
Your content is yours. You retain all ownership rights to the content you create and share on MyCirclee, including notes, events, asks, polls, and direct messages.
By posting content, you grant NEOGY LLC a limited, non-exclusive, royalty-free license to display, transmit, and distribute that content solely for the purpose of operating the App and delivering it to members of your circle. This license terminates when your content is deleted or expires.
All trademarks, logos, and service marks displayed in the App are the property of NEOGY LLC or their respective owners. You may not use them without prior written permission.
7. Ephemeral Content Disclaimer
MyCirclee is built around ephemeral content. All posts expire and are automatically deleted 24 hours after creation. This is a core feature, not a bug.
Once content expires, it is permanently removed from our systems. We do not maintain backups of expired content and cannot recover it under any circumstances.
You acknowledge and accept that:
- Expired content cannot be retrieved, restored, or recovered
- You are responsible for saving any content you wish to keep before it expires
- NEOGY LLC bears no liability for the loss of expired content
- Other circle members may screenshot or otherwise capture your content before it expires, and this is outside our control
8. Circle Membership
Each circle has a hard cap of 30 members. This limit is intentional and non-negotiable.
Circles are invite-only. Invite links are single-use and expire 48 hours after generation. Once an invite is used or expires, it cannot be reused.
Circle Administration
Circle creators and designated admins have the ability to:
- Generate and revoke invite links
- Remove members from the circle
- Manage circle settings
Removal from a circle is at the discretion of that circle's admin. NEOGY LLC does not mediate membership disputes between users.
9. Direct Messages
MyCirclee provides direct messaging between members of the same circle. Messages are private between the sender and recipient.
You should have a reasonable expectation of privacy in your direct messages. However, recipients may choose to share, screenshot, or forward message content at their discretion, which is outside our control.
If you receive abusive, threatening, or otherwise harmful messages, you may report the sender. We will review reports and may take action including warning, suspension, or termination of the offending account.
10. Privacy
Your privacy is fundamental to MyCirclee. We do not run ads, do not sell data, and do not track user behavior.

You may export your data at any time through the App's settings. We believe your data belongs to you.
11. Disclaimers & Limitation of Liability
MyCirclee is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The App will be available at all times or free from interruptions
- The App will be free of errors, bugs, or security vulnerabilities
- Content shared by other users will be accurate, reliable, or appropriate
To the maximum extent permitted by applicable law, NEOGY LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or goodwill, arising out of or related to your use of the App.
Our total aggregate liability for any claims arising from or related to the App shall not exceed the amount you have paid us in the 12 months preceding the claim, or $50 USD, whichever is greater.
12. Termination
You may stop using MyCirclee and delete your account at any time through the App's settings.
We may suspend or terminate your account if:
- You violate these Terms
- Your conduct negatively impacts other users or the integrity of the service
- We are required to do so by law
- We discontinue the service (with reasonable notice when possible)
Upon termination, your right to use the App ceases immediately. Content you have shared will be handled according to its ephemeral lifecycle. You may export your data before account deletion.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the App or via the email associated with your account.
Continued use of MyCirclee after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you should stop using the App and delete your account.
The "Effective" date at the top of this page indicates when these Terms were last updated.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, United States, without regard to its conflict-of-law provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Hampshire.
